Job Description

(a) Job Purpose
The Department is responsible for providing advice and support on all legal matters to the Board and the Service. It also provides secretariat services to the Board of Directors. The Department is responsible for Board evaluation for promotion of good corporate governance. In addition, the Department ensures the Service complies with all statutory, legal, social and regulatory requirements in the execution of its strategies.

(b) Functions
(i) Providing guidance to the Board on their duties and responsibilities and on matters of governance;
(ii) Assisting the Board of Directors in carrying out Board duties;
(iii) Coordinating Board induction and training;
(iv) Updating the Board and Committee charters;
(v) Preparation of the Board work plans;
(vi) Conducting Board evaluation;
(vii) Governance audit;
(viii) The implementation of the Code of Conduct and Ethics;
(ix) Ensuring timely preparation and circulation of Board and Committees papers;
(x) Ensuring timely circulation of Board and Committee minutes;
(xi) Being the custodian of the seal of the Organization and account to the Board for its use;
(xii) Maintaining and updating the register of conflicts of interest;
(xiii) ensuring that, Board and Committee papers are circulated in advance of any meeting;
(xiv) Advise the Board on the principles of corporate governance;
(xv) Secretary to the Board of Directors and Board Committees;(xvi) preparation of Board papers and arranging for Board meetings;
(xvii) Communication and implementation of Board resolutions by Management;
(xviii) Implementation of the Capacity building programmes for the Board of Directors; and
(xix) Custodian of important Board documents, the Board seal and register. 

 

(c) Legal Functions
Legal functions will be to:
(i) Provide advice on all legal aspects of the Authority, Regulations and other legal statutes;
(ii) al Advocates;
(iii) Coordinate and enforce matters of non-compliance with legal and regulatory framework of licenses and other parties with the relevant department;
(iv) Coordinate drafting of legal instruments based on policy proposals by the stakeholders;
(v) Draft and review of contracts, Memorandum of Understanding between the Authority and third parties; and
(vi) Ensure compliance in the Implementation of the constitution and other relevant laws;
(vii) Manage litigation on behalf of the organization including alternative dispute resolution;
(viii) Develop and implement directorate targets and work plan;
(ix) Ensure that all security documents are well secured;
(x) Develop negotiation and partnership instruments between ICTA and other partners; and
(xi) Develop and implement of the Code of Ethics for the Board and staff.

Job Specification

Job Specifications
The duties and responsibilities will entail;
(i) Advising the Authority on legal matters;
(ii) Monitoring compliance of the company with various regulations issued by the Regulatory Bodies;
(iii) Advising the Authority and coordinating with the functional areas in relation to legal requirements;
(iv) Overseeing and managing compliance issues within the Authority; (v) Responsible for the timely release of legal advice to assist the Authority in making an informed decision;
(vi) Lead the drafting and reviewing of contract, agreements and leases in which the office is involved ;
(vii) Ensure adequate preparation and representation of the office in litigation matters, represent the office in court and adduce evidence in all cases where office may be involved;
(viii) Ensuring timely compliance with rules and regulations affecting the Authority, including the Code of Conduct and Ethics; and(ix) Attending to all legal matters of the Authority including advising, vetting and drafting of legal agreements in relation to the Authority's operations.

 

 Personal Specifications

For appointment to this grade an officer must have: -

(i) At least twelve(12) years of relevant work experience in Public Service or Private Sector, five(5) of which in senior management position;
(ii) Bachelor in Laws (LLB) degree from a recognized institution;
(iii) Masters Degree in any of the following disciplines; Law, Business Administration, Public Administration, or equivalent qualifications from a recognized institution;
(iv) Postgraduate Diploma in Legal Studies from a recognized institution;
(v) Been admitted as an Advocate of the High Court;
(vi) Certificate in computer application skills;
(vii) Been admitted as an Advocate of the High Court of Kenya;
(viii) Leadership course lasting not less than four (4) weeks from a recognized institution;
(ix) Be a Certified Public Secretary (K) or its equivalent qualification from a recognized institution;
(x) Leadership Course lasting not less than four (4) weeks from a recognized institution
(xi) Certificate in computer application skills;
(xii) Meets the provision of Chapter Six (6) of the Constitution; and
(xiii) Demonstrate competence in work performance.

  • Kenya Revenue Authority - (Valid Tax compliance certificate).
  • Directorate of Criminal Investigations - (Certificate of good conduct)
  • Higher Education Loans Board - (Compliance certificate, where applicable)
  • Ethics and Anti – Corruption Commission - (Self-Declaration form)
  • Credit Reference Bureau - (Certificate of clearance or credit report)
